1. Terms of Website Use

1.1 This page (together with the documents referred to on it) tells you the terms of use on which you may make use of our website www.healthdirection.co.uk (the “Site"), whether as a guest or a registered user.

1.2 Please read these terms of use carefully before you start to use the site. By using the Site, you indicate that you accept these terms of use, whether or not you choose to register with us, and that you agree to abide by them. If you do not agree to these terms of use, please refrain from using the Site.

2.1 www.healthdirection.co.uk is a site operated by Cegedim Dendrite Limited ("We"). We are registered in England and Wales under company number 02924155 and have our registered office at Cegedim House, Pound Road, Chertsey, Surrey KT16 8EH. Our main trading address is 2nd Floor, Block B, 202 Langstone Gate, Havant, Hants PO9 1TR.

2.2 We are a limited company.

3. Accessing the Site

3.1 Access to the Site is permitted on a temporary basis, and we reserve the right to withdraw or amend the service we provide on the Site without notice (see Section 6 below). We will not be liable if for any reason the Site is unavailable at any time or for any period.

3.2 Under these conditions, We do not guarantee that the Site shall function without interruption or error. In particular, the use of the Site may be interrupted at any time for the purposes of maintenance, updates or technical improvements, or to develop its content and/or presentation. Whenever possible, We shall inform our registered users prior to maintenance works or updates.

3.3 If you choose, or you are provided with, a user identification code, password or any other piece of information as part of our security procedures:

(a) You must treat such information as confidential, and you must not disclose it to any third party. Each registration is for a single user and we do not permit you to share your user name and/or password with any other person nor with multiple users on a network.

(b) We have the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time, if in our opinion you have failed to comply with any of the provisions of these terms of use.

(c) Responsibility for the security of any passwords issued rests with you.

4.1 The technology underlying, and content within, the Site is owned by Cegedim Dendrite Limited. and is protected by copyrights and other intellectual property and/or proprietary rights around the world. Cegedim Dendrite Limited. shall own and retain all ownership of its rights in connection with the Site. All such intellectual property and/or proprietary rights are reserved.

4.2 You may print off one copy, and may download extracts, of any page(s) from the Site for your personal reference and you may draw the attention of others within your organisation to material posted on the Site provided that:

(a) You must not modify the paper or digital copies of any materials you have printed off or downloaded in any way, and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text.

(b) Our status (and that of any identified contributors) as the authors of material on the Site must always be acknowledged.

(c) You comply with the applicable copyright laws or treaties and meet the requirements the applicable data protection law.

4.3 You must not use any part of the materials on the Site for commercial purposes without obtaining a licence to do so from us or our licensors.

4.4 If you print off, copy or download any part of the Site in breach of these terms of use, your right to use the Site will automatically terminate and you must, at our option, return or destroy any copies of the materials you have made.

4.5 Subject to clause 4.2, no part of the Site may be reproduced or stored in any other website or included in any public or private electronic retrieval system or service without prior written permission.

4.6 Upon termination of your right to use the Site, for whatever reason, you must, at our option, return or destroy any copies of the materials you have made.

and you warrant that any such contribution does comply with those standards, and you indemnify us for any breach of that warranty. .

9.2 Any material you upload to the Site, if not covered by our Privacy Policy, will be considered non-confidential and non-proprietary, and we have the right to use, copy, distribute and disclose to third parties any such material for any purpose. We also have the right to disclose your identity to any third party who is claiming that any material posted or uploaded by you to the Site constitutes a violation of their intellectual property rights, or of their right to privacy.

9.3 We will not be responsible, or liable to any third party, for the content or accuracy of any materials posted by you or any other user of the Site.

9.4 We have the right to remove any material or posting you make on the Site if, in our opinion, such material does not comply with the content standards set out in our Acceptable Use Policy.

10. Viruses, hacking and other offences

10.1 You must not misuse the Site by knowingly introducing viruses, Trojans, worms, logic bombs or other material which is malicious or technologically harmful. 10.3 By breaching the provisions of clauses 10.1 or 10.2, you would commit a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use the Site will cease immediately.

10.4 We will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of the Site or to your downloading of any material posted on it, or on any website linked to it.

11. Linking to the Site

13.2 These terms of use are governed by English law.

14.1 All rights in the company names, trade names, graphics, logos, page headers, button icons, scripts, trade dress and designs whether or not appearing in large print or with the trademark symbol, belong exclusively to Cegedim Dendrite Limited. and are protected from reproduction, imitation, dilution, or confusing or misleading uses under national and international trademark and copyright and other intellectual property laws.
